These Terms and Conditions govern your use of the Tuah Partners website and the terms on which Tuah Partners provides legal services. By using this website or instructing us, you agree to these terms. If you do not agree, please discontinue use of the website.

1. Definitions

In these Terms and Conditions, the following definitions apply:

  • "Firm" / "we" / "us" / "our" means Tuah Partners, a legal practice registered and operating in Malaysia.
  • "Client" / "you" means any person, company, or entity that uses this website or instructs the Firm on a legal matter.
  • "Services" means legal advisory, representation, and related professional services provided by the Firm.
  • "Engagement Letter" means the written retainer agreement signed between the Firm and a client before formal legal services begin.
  • "Website" means the Firm's website accessible at ttuahpartns.pro and all associated pages.
  • "Content" means all text, documents, images, and other material appearing on the Website.

2. Acceptance of Terms

By accessing the Website or submitting an enquiry, you confirm that you are aged 18 or above and have the legal capacity to enter into binding agreements. Your continued use of the Website constitutes acceptance of these Terms. These Terms apply alongside any Engagement Letter you may sign with the Firm; in the event of conflict, the Engagement Letter prevails in respect of the specific matter it governs.

3. Service Description

Tuah Partners provides specialist maritime and admiralty legal services in Malaysia, including bill of lading dispute advisory, ship arrest and release proceedings before the Malaysian High Court (Admiralty Division), and charter party and marine insurance advisory. Services are subject to geographic scope — our primary jurisdiction is Malaysia, and we engage in matters in other jurisdictions through correspondent counsel arrangements.

Nothing on this Website constitutes legal advice. Information provided is general in nature and for informational purposes only. Formal legal advice is provided only under a signed Engagement Letter.

4. Retainer & Engagement

A formal solicitor-client relationship is established only when a signed Engagement Letter has been exchanged and any required initial payment has been received. Pre-engagement discussions, including responses to enquiries submitted through the Website, do not constitute a retainer and are not subject to legal professional privilege unless and until an Engagement Letter is in place.

The Firm reserves the right to decline instructions at its discretion, including for conflict of interest, resource constraints, or any other reason consistent with our professional obligations to the Malaysian Bar Council.

5. User Responsibilities

When using the Website or engaging our services, you agree to:

  • Provide accurate, complete, and current information in all enquiries and instructions
  • Not use the Website for unlawful purposes or in any manner that could damage, disable, or impair its operation
  • Not attempt to gain unauthorised access to any part of the Website or its underlying systems
  • Not submit false or misleading information that could affect legal advice provided to you or others

6. Intellectual Property

Engagement documents, position papers, and legal opinions prepared by the Firm for a client remain the intellectual property of the Firm and are licensed to the client for the specific purpose for which they were prepared. They may not be shared with third parties without our consent, except as necessary to progress the client's matter.

7. Fees & Payment

Our fees for each service are set out in the relevant Engagement Letter. Indicative pricing shown on our Solutions page represents a starting range and may vary based on matter complexity, urgency, and scope of instruction. All fees are stated in Malaysian Ringgit (MYR) unless otherwise agreed.

Invoices are payable within 14 days of issue unless the Engagement Letter specifies otherwise. The Firm reserves the right to charge statutory interest on overdue amounts under the Civil Law Act 1956. Disbursements (court fees, filing charges, correspondent counsel fees) are billed separately and at cost.

Fee disputes should be raised with the Firm in writing within 14 days of receiving an invoice. Unresolved disputes may be referred to the Malaysian Bar's fee mediation process.

8. Confidentiality

All information provided to the Firm in connection with a legal matter is treated as confidential and is subject to legal professional privilege under Malaysian law. We will not disclose client information to third parties except as required to carry out your instructions, as required by law or court order, or with your express consent.

Anti-money laundering obligations under AMLATFPUAA may in certain circumstances require us to report suspicious activity to relevant authorities. Our duty of confidentiality does not override these statutory obligations.

9. Disclaimers

The Website and its content are provided on an "as is" basis. We make no warranty, express or implied, that the information on this Website is complete, accurate, current, or suitable for any particular purpose. Legal information on the Website reflects general principles and may not account for changes in law, jurisdiction-specific rules, or the specific facts of your situation.

Use of information from this Website does not create a solicitor-client relationship. We are not liable for any action taken or not taken in reliance on Website content without a signed Engagement Letter in place.

10. Limitation of Liability

To the fullest extent permitted by Malaysian law, the Firm's liability to any client in respect of services provided is limited to the fees actually paid to the Firm under the relevant Engagement Letter for the specific matter giving rise to the claim. We exclude liability for indirect, consequential, or special losses, including lost profits, loss of business, or loss of opportunity.

Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Malaysian law.

11. Termination of Engagement

Either party may terminate an engagement by giving reasonable written notice, subject to the terms of the Engagement Letter and the Firm's professional obligations under the Legal Profession Act 1976. The Firm may withdraw from an engagement where continued representation would create a conflict of interest, where instructions are unclear or cannot be acted upon ethically, or where outstanding fees remain unpaid after notice.

On termination, the client remains responsible for fees for work completed to date. The Firm will take reasonable steps to protect the client's interests during any transition to alternative counsel.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms or your use of the Website that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Malaysia, with venue in Kuala Lumpur.

The parties agree to attempt good-faith resolution of any dispute before commencing formal proceedings. For disputes relating to legal fees, the Bar Council's fee mediation mechanism is available as an alternative to court proceedings.

13. General Provisions

These Terms constitute the entire agreement between you and the Firm with respect to use of the Website. If any provision is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not constitute a waiver of that right. These Terms may not be assigned by you without our written consent. We may update these Terms at any time by posting a revised version to the Website; continued use constitutes acceptance.
